VIX Wholesale Agreement
Please read this Agreement before submitting a wholesale order request. Questions or requested exceptions should be sent to VIX before acceptance.
1. Parties and authority
This Agreement governs wholesale purchases from VIX Protection ("VIX") by the wholesale business identified in the VIX Wholesale portal ("Buyer"). The person accepting this Agreement represents that the information submitted is accurate and that they are authorized to bind Buyer.
2. Order requests and acceptance
A portal submission is Buyer's request to purchase the listed products at the displayed product prices, shipping charge, and applicable tax. It is not an accepted order until VIX approves it. VIX may accept, reject, or request changes to an order request. If VIX approves the request without changes, Buyer agrees to purchase the approved products and pay the confirmed total under these terms. Any change to products or price requires Buyer's review before approval.
3. Wholesale pricing
Unless VIX approves a different partner tier in writing, wholesale product pricing is 60% of the then-current MSRP shown on the VIX website. The portal snapshots product prices when an order request is submitted. The submitted price cannot increase unless Buyer reviews and accepts a revised request.
4. Payment
VIX invoices approved orders when they ship, and payment is due upon delivery. Buyer may pay earlier. VIX accepts ACH, wire transfer, or business check; another method requires VIX's written approval.
5. Shipping, delivery, and risk of loss
Standard shipping is free for wholesale orders delivered to a valid United States address. In-stock orders ordinarily ship within two business days after approval; VIX will provide an estimate when an item is unavailable or delayed. Risk of loss remains with VIX until delivery to Buyer's approved shipping address. Buyer must promptly report visible loss or carrier damage so VIX can pursue the carrier claim.
6. Sales tax and resale documentation
A resale certificate is not required to submit an order request. VIX will treat an order as tax-exempt only after approving a valid certificate for the applicable store. Otherwise, VIX will add applicable sales tax to the confirmed total. Buyer is responsible for the accuracy and continuing validity of its resale information.
7. Minimum advertised price
Buyer agrees to follow VIX's then-current written Minimum Advertised Price (MAP) policy for VIX products. MAP concerns advertised prices and does not determine the price at which Buyer ultimately sells a product. VIX may suspend wholesale access for violations after notice. Any MAP exception must be approved by VIX in writing.
8. Authorized sales channels
Buyer may sell VIX products only through the physical storefronts and first-party website identified to VIX. Buyer may not sell through Amazon, eBay, another third-party marketplace, or another reseller, and may not transship VIX products, without VIX's prior written approval.
9. Confidentiality
Buyer must keep VIX wholesale pricing, partner discounts, and other non-public commercial terms confidential, except when disclosure is required by law or to Buyer's professional advisers who are bound to protect the information.
10. Returns and size exchanges
Buyer may request a size exchange within 30 days after delivery for products that are unworn, unwashed, undamaged, and in their original packaging. VIX does not provide end-of-season inventory buybacks under this Agreement. Any separate buyback or return program must be agreed in writing.
11. Defective products
Buyer may report a suspected manufacturing defect within two years after delivery. VIX may require photographs, written documentation, or inspection before determining whether replacement is appropriate. This provision covers manufacturing defects, not ordinary wear, misuse, alteration, or damage after delivery.
12. Agreement records and changes
This Agreement and each approved order record the parties' wholesale arrangement and supersede earlier VIX wholesale order-form terms for future orders, except for a written exception approved by VIX. VIX may update these terms prospectively. A material update requires Buyer to accept the new version before submitting another order. Electronic acceptance and records have the same effect as signed paper copies.
